Terms of Service

These Terms of Service ("Terms") govern your use of mioxa.net and the services provided by Mioxa ("we," "us," or "our"). By accessing our website or purchasing our services, you agree to these Terms.

1. Services

Mioxa provides AI automation services to local businesses, including but not limited to:

• Individualized Website design and delivery
• AI Lead Generation systems
• Content Automation (where available)
• AI Customer Agent setup and management (where available)

Specific deliverables, timelines, and scope for each engagement are defined in a separate Client Service Agreement signed prior to project commencement.

2. Payment Terms

• All fees are due at the time of purchase unless otherwise agreed in writing.
• Monthly retainer services are billed on a recurring basis and require 30 days written notice to cancel.
• Payments are processed securely through Stripe. We do not store payment credentials.
• All prices are in USD.

3. Refund Policy

• Individualized Website ($497): Full refund within 48 hours of purchase if work has not yet commenced. No refund once the draft has been delivered.
• Monthly Retainers: No refunds for the current billing cycle. Cancel before the next billing date to avoid future charges.
• If you are dissatisfied with a deliverable, contact us within 7 days and we will make reasonable revisions at no additional cost.

4. Client Responsibilities

To allow us to deliver your project on time, you agree to:

• Provide accurate business information and content when requested
• Respond to requests for feedback or approvals within 5 business days
• Ensure you have the rights to any logos, images, or content you provide to us

5. Intellectual Property

Upon full payment, you own the final deliverables created specifically for your business. Mioxa retains ownership of underlying tools, templates, systems, and methodologies used to produce deliverables. We may display completed work in our portfolio unless you request otherwise in writing.

6. Confidentiality

Both parties agree to keep confidential any proprietary business information shared during the engagement. A formal NDA is available upon request for engagements involving sensitive data.

7. Limitation of Liability

Mioxa's liability for any claim arising from our services is limited to the total fees paid by you in the 30 days preceding the claim. We are not liable for indirect, incidental, or consequential damages including lost profits or lost business opportunities.

8. No Guarantee of Results

We deliver professional AI automation services and apply best practices, but we cannot guarantee specific business outcomes such as revenue increases, lead volumes, or conversion rates. Results depend on factors outside our control.

9. Termination

Either party may terminate a monthly service with 30 days written notice. We reserve the right to terminate services immediately for non-payment or breach of these Terms.

10. Governing Law

These Terms are governed by the laws of the State of Kansas. Any disputes shall be resolved in Shawnee County, Kansas.

11. Changes to These Terms

We may update these Terms at any time. Continued use of our services after changes constitutes acceptance of the updated Terms.
